Please read this before using the Hullo app prototype.

The Hullo mobile app project started with an intent to provide a platform for newcomers to assist them during their settlement journey. This mobile application is a prototype and proof of concept application to validate our idea and research. This prototype is developed and operated by SyntecX Global Corporation, a Canadian corporation doing business as SyntecX (and for this mobile application/terms and agreement) “Hullo” (“SyntecX”, “Hullo,” “we,” or “us”). Hullo provides newcomers alternatively users (collectively, “Newcomers,” or “Users” and individually, “newcomer” or “user” or “you”) a mobile platform to seek help from professionals or businesses in various lines of work (collectively “Service Providers”, “Organizations”, “Community”, “Business” or “Company”) (the “Services”). By downloading, installing or registering, you are participating unconditionally in our market research program testing, and agreeing to these terms of service and the Hullo (beta) app privacy policy.

Amendments

You acknowledge and agree that Hullo may amend this Agreement at any time by posting a revised version of this Agreement on the Hullo Mobile Application or by notifying Users directly in Hullo’s sole discretion, including without limitation, by email or by mail. Your continued use of the Services or the Hullo Mobile Application after any changes are made to this Agreement shall constitute your consent to such changes. Hullo does not and will not assume any obligation to notify Users of any changes to this Agreement, or the creation or modification of any additional terms. You are solely responsible for remaining knowledgeable about the Terms of the Agreement.

Services offered by Service Providers

Service Requests

A Newcomer or User can ask for help by posting request for service (“Service Request”) concerning the desired service(s). Hullo does not and cannot guarantee that there will be Service Providers who are capable of or willing to complete the requested services at the time and place requested or that User will get a quote or response from any, all or selected Service Provider(s). All service Requests must be lawful and not in violation of any local, municipal or city ordinance, bylaw or regulation, or provincial or federal law.

Bookings/Agreement with Service Provider

If after posting a Service Request and being contacted by a Service Provider, the User at their own discretion, may book or use a Service Provider’s services for an agreed fee or free of cost, understanding or agreement. Any agreement or understanding entered between the User and Service Provider is solely between the User and Service Provider, and Hullo and its affiliates are not parties to such agreement or understanding. Hullo and its affiliates are not and will not be parties to or third-party beneficiaries of any agreements entered into by and between User and Service Provider. Accordingly, please consider carefully before you agree to enter into a contract with a Service Provider to receive the offered services.

Service Provider Profile

Hullo requires Service Providers to post their company or service profile on the Hullo mobile application. Hullo does not review or verify the information or representations set forth in such profiles, as they are created by the Service Providers on their own. Although Hullo or its affiliates may take certain steps to examine the credentials of Service Providers, Hullo or its affiliates makes no guarantees, promises, warranties, conditions or representations of any kind regarding the skills, licenses, permits, certificates or representations on behalf of such Service Providers.

Service Provider Credibility

Service Provider may post or submit information or documents that can help to increase their credibility Infront of users or newcomers. These additional documents may include proof of business, applicable licenses and certificates or any other documentary information that the Service Provider may choose to feature on their profile. While Hullo does not verify this information, Service Providers are required to warrant that the information they submit is complete, accurate and current.

Before proceeding with a project or service, users/newcomers must confirm with the Service Provider for validity of such documents. Identity or Service verification on the principal/owner of the Service Provider business reflect the individual’s provided information at the time of the search. Accordingly, Hullo does not and cannot warrant that the provided documents are authentic, up-to-date and/or valid/current afterwards.

Service Provider Licensing

Service Provider may include licensing information in their verification. Different jurisdictions may require federal, provincial and/or local (county or municipal) level licensing for certain services, work, and/or project amounts. Newcomers and Users are responsible for determining which licenses, if any, are required for their requested services. Before you proceed with a project or service, you should confirm all licensing requirements with your federal, provincial and/or local authorities, as applicable, and your selected Service Provider. Hullo recommends that you always ask the Service Provider to provide you with a copy of their license(s).

Relationship between Hullo and Service Provider

Hullo and Service Provider are separate entities and an employee of one of these entities is not an employee of another entity. Hullo is not an agent or affiliate of Service Providers and vice versa. Hullo only provides a referral service to Service Provider. In no event will Hullo be considered a contractor, manager, project manager, joint employer, joint venture, partner or limited partner of Service Provider or any of its affiliates or their respective personnel.

User or Newcomer obligation

It is the responsibility of the user to verify the information presented by the Service Provider, including the information in the Service Provider’s Service profile etc. Hullo does not verify, validate or endorse any information or documents provided by Service Providers and expressly disclaims any guarantees, representations, conditions or warranties concerning such information.

USER OR NEWCOMER SHOULD CONDUCT THEIR OWN INVESTIGATION OF SERVICE PROVIDER, TO INVESTIGATE AND TO DETERMINE, AMONG OTHER THINGS, WHETHER SERVICE PROVIDER IS APPROPRIATELY LICENSED FOR THE REQUESTED SERVICE(S), FREE OF SIGNIFICANT FEDERAL, PROVINCIAL OR LOCAL-LEVEL CIVIL LEGAL JUDGMENTS OR DISCIPLINARY PROCEEDINGS BEFORE PROVINCIAL COLLEGES OF TRADES IF APPLICABLE, AND CARRY APPROPRIATE INSURANCE OR BONDING AT APPROPRIATE LIMITS. HULLO DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION RECEIVED BY USER OR NEWCOMER FROM FEDERAL, PROVINCIAL OR OTHER GOVERNMENT AGENCIES OR FROM THIRD PARTY SOURCES IS ACCURATE, ERROR FREE, OR THAT IT IS UP TO DATE OR UPDATED AT THE TIME THAT USER OR NEWCOMER VIEWS SUCH INFORMATION. MOST AGENCIES HAVE PERIODIC UPDATE CYCLES OR SCHEDULES AND THIS INFORMATION IS NOT UPDATED ON A REAL-TIME BASIS BY SUCH AGENCIES AND THIRD PARTY SOURCES.

No Warranty or Endorsement of Service Provider

Hullo does not endorse or recommend the services of any particular Service Provider. The decision to enter into an agreement for help, work or service is solely a decision of the User or Newcomer. HULLO DOES NOT WARRANT THE SERVICE PROVIDER’S PERFORMANCE ON THE JOB OR THE QUALITY OF GOODS, MATERIALS, EQUIPMENT OR SERVICES FURNISHED BY SERVICE PROVIDER. Hullo does not contract for or perform, and is not responsible for, any of the services requested by the User or Newcomer in the Service Request. You expressly acknowledge and agree that your use of the Services and the Hullo Mobile Application is at your sole risk.

HULLO OR ITS AFFILIATES MAKES NO REPRESENTATIONS, CONDITIONS OR WARRANTIES AS TO THE CONDUCT OF ANY SERVICE PROVIDER OR THE SERVICE PROVIDER’S ABILITY TO PROVIDE A SERVICE COMPLIANT WITH THE USER’S OR NEWCOMER’S SERVICE REQUEST. YOU EXPRESSLY ACKNOWLEDGE THAT HULLO MAKES NO WARRANTIES OR CONDITIONS, WHETHER EXPRESS, IMPLIED, OR COLLATERAL, REGARDING THE QUALITY OF SERVICES RENDERED BY ANY SERVICE PROVIDER OR BUSINESS.

Payments to Service Provider

User or Newcomer is solely responsible for making payment to the Service Provider for any work completed in accordance with the User’s or Newcomer’s agreed terms with Service Provider which may include performance/deliverables to User’s or Newcomer’s satisfaction. All such payments shall be made by User or Newcomer directly to Service Provider. Hullo and its affiliates shall not be liable for any claims made by User or Newcomer relating to, or arising out of, charges to a Service Provider. Furthermore, Service Provider must also ensure to collect payments directly from User or Newcomer for the services rendered. Hullo and its affiliates shall not be liable or responsible for recovery of any payments on behalf of Users or Newcomers.

Service Provider Obligations

Service Provider’s Obligations to Consumer

Service Provider commits to perform its services solely for the benefit of the User and at all times in the best interest of the User, as agreed to between Service Provider and User exclusively. Service Provider is responsible for managing appointments and the relationship with Users who book the respective service. Hullo makes no representations or warranties as to the conduct of any User or Newcomer, the User’s credit rating or score, or the User’s ability to pay a Service Provider. Any dispute between Service Provider and User must be addressed directly with that User.

Service Provider Information

As a registered Service Provider, you must provide certain information on a Profile. Further, as part of registration, you may be required to provide additional information, including without limitation, business email address(es), business name(s), business telephone number(s), mobile telephone numbers, business address(es), and such as identity or verification information and personal photograph(s).

No Warranties

HULLO MAKES NO REPRESENTATIONS, WARRANTIES OR CONDITIONS ABOUT THE SUITABILITY OF THE CONTENT ON OR SERVICES OF THE MOBILE APPLICAION FOR ANY PURPOSE. HULLO DOES NOT PROMISE THAT THE MOBILE APPLICAION WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL PROVIDE SPECIFIC RESULTS FROM USE OF THE MOBILE APPLICATION OR ANY CONTENT, SEARCH OR LINK ON IT. THE MOBILE APPLICATION AND ITS CONTENT ARE DELIVERED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. HULLO CANNOT ENSURE THAT ANY FILES YOU DOWNLOAD FROM THE APPLICATION WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. HULLO SHALL NOT HAVE ANY LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT OF THIS MOBILE APPLICAION, FOR YOUR ACTION OR INACTION IN CONNECTION WITH THIS MOBILE APPLICAION OR FOR ANY DAMAGE TO YOUR MOBILE PHONE OR MOBILE DEVICE OR DATA OR ANY OTHER DAMAGE YOU MAY INCUR IN CONNECTION WITH THIS MOBILE APPLICAION. HULLO SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, EXPRESS, IMPLIED OR COLLATERAL, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR OR GENERAL PURPOSE, TITLE AND NON-INFRINGEMENT. HULLO MAKES NO GUARANTEES OF ANY SPECIFIC RESULT FROM USE OF THIS MOBILE APPLICATION. YOUR USE OF THIS MOBILE APPLICATION IS AT YOUR OWN RISK.

Limitations of Liability

IN NO EVENT SHALL HULLO, ITS AFFILIATES, PARENT COMPANIES, SUBSIDIARIES AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND/OR AGENTS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, GENERAL, SPECIAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR RELATING TO (1) THE USE OF, CONTENT IN, DELAY OR INABILITY TO USE, OR OTHERWISE ARISING IN CONNECTION WITH THIS MOBILE APPLICATION OR (2) THE CONDUCT OF A USER, SERVICE PROVIDER OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE MOBILE APPLICATION, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES. HULLO IS NOT LIABLE FOR ANY LOST DATA RESULTING FROM THE SERVICES OR OPERATION OF THE MOBILE APPLICATION OR THE ENFORCEMENT OF THE TERMS. HULLO EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTY USERS, HULLO USERS, ADVERTISERS AND/OR SPONSORS ON THE MOBILE APPLICATION, IN CONNECTION WITH THE SERVICES OR MOBILE APPLICATION OR OTHERWISE RELATED TO YOUR USE OF THE SERVICES OR MOBILE APPLICAION. BY USING THE SERVICES OR THE MOBILE APPLICATION, YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL INTERACTIONS WITH OTHER USERS OF THE SERVICES OR THE MOBILE APPLICATION. TO THE EXTENT YOUR JURISDICTION OF RESIDENCE DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

Consent

If you are using this application, you are providing consent for the Hullo app to collect information including personal and non-personal information.

Privacy

This application automatically receives certain types of information when you are interacting with it. That information includes but is not limited to your communication device’s IP address, access times, and location.

You understand that all this information can be used for the purpose of research, gathering/ understanding user requirements, idea validation, and proof of concept. You also understand that personal information will not be sold or distributed to any third parties. For other disclosures your information will be aggregated, made anonymous, and used to create data sets for analysis to improve delivery of services.

Indemnification

In no event will we be liable for lost profits or any other damages, including without limitation any indirect, consequential, special, incidental, or punitive damages arising out of, based on, or resulting from these terms of service or connected in any way with your use of or inability to use the service, or for any claim by any other party, even if we have been advised of the possibility of such damages. The exclusion of damages under this section is independent of your exclusive remedy and survives in the event such remedy fails of its essential purpose or is otherwise deemed unenforceable. These limitations and exclusions apply without regard to whether the damages arise from (1) breach of contract, (2) breach of warranty, (3) negligence, or (4) any other cause or action, to the extent such exclusion and limitations are not prohibited by applicable law. If you are dissatisfied with the service, you do not agree with any part of this contract, or you have any other dispute or claim with or against us with respect to this contract or the service, then your sole and exclusive remedy is to discontinue using the service.
